These Terms are between the merchant or business accepting them ("you") and Nadim Najjar, an individual, operator of ScenePact, at 3257 Al Hawm, king Fahd District, 12274 Riyadh, KSA ("ScenePact," "we," "us," or "our"). By activating a paid subscription or using ScenePact, you agree to these Terms. If you act for a business, you confirm that you have authority to bind it.
1. Service
ScenePact is an embedded Shopify app for eligible product media. It generates backgrounds, composites them with merchant-selected Shopify product media, applies automated safety and fidelity checks, and lets you review an approved preview before downloading it or publishing it as new Shopify product media. The source image is not overwritten or deleted by publishing.
Automated checks reduce risk but can make mistakes. A generated result, fidelity outcome, uninterrupted service, or particular commercial result is not guaranteed. You must review every output before use.
2. Eligibility, accounts, and acceptable use
You must control or be authorized to act for the connected Shopify store. You must use only rights-cleared product media, prompts, trademarks, and other material, and are responsible for output accuracy, safety, legality, required disclosures, product fidelity, and fitness for purpose.
Merchant account and contact data required for authentication and support is processed as described in the Privacy Policy. Do not place customer personal data, sensitive personal data, credentials, or payment-card details in product-media inputs, generation instructions, or support messages.
You must not use ScenePact unlawfully; infringe another person's rights; submit malicious code or prohibited content; request sexual content, nudity, or naked people; interfere with the service; reverse engineer protected components except where law permits; or bypass access, safety, billing, or usage controls.
3. Plans and Shopify billing
The founding-v1 plan costs $19 USD every 30 days and includes 200 successful provider-backed AI generations per billing period. ScenePact Pro costs $39 USD every 30 days and includes 500 successful provider-backed AI generationsper billing period. Both plans offer a 7-day free trial for eligible first subscriptions, with no overagepurchases. A unit is consumed only after the required checks approve a final provider-backed AI output. Technical or provider failures, moderated or safety-rejected output, and idempotent retries do not consume the allowance. Curated templates, solid backgrounds, downloads, and Shopify publishing are unlimited while entitled. Outputs are full resolution and have no ScenePact watermark.
The founding-v1 price is guaranteed for 12 months from an enrolled merchant's activation. Enrollment uses a hard cap of 100 Founding reservations and enrollments. Pro enrollment is uncapped and does not reserve or consume Founding slots. ScenePact creates a reservation for the exact shop before the Shopify charge request. Reservations do not expire by time alone. Authoritative Shopify reconciliation releases an unactivated reservation only after a declined, cancelled, or expired approval, or a definitive failure before charge dispatch. An enrolled Founding slot remains assigned to the same shop, including when that shop switches to Pro and returns to Founding. Enrollment finalizes only when Shopify reconciliation records the exact ACTIVE, non-test ScenePact Founding Plan for that same shop. Reviewer TEST billing bypasses the registry and consumes no slot.
Switch between Founding and Pro from Billing without support or reinstall, subject to Founding availability and Shopify approval. Your current plan stays available while replacement approval is pending. The new plan and allowance take effect when Shopify confirms the replacement subscription. Changing plans does not restart the free trial. Shopify shows the charge and any credit before approval.
Shopify manages approval and collection of the recurring app charge. ScenePact reconciles Shopify's subscription status before enabling paid production use. Test charges do not grant production access. The Shopify approval screen should match this pricing section. If it does not, do not approve the charge and contact ScenePact support so the discrepancy can be resolved.
4. Cancellation and refunds
You may cancel through Shopify using the subscription or app controls Shopify makes available, including by uninstalling the app. Cancellation stops future access and recurring billing according to Shopify's billing rules; it does not restore AI units or by itself create a retroactive refund.
Refund requests are reviewed manually and case-by-case. ScenePact may issue a refund or appropriate adjustment for a verified technical failure attributable to ScenePact that prevented the paid service from being delivered as described. There is no refund for successfully consumed AI usage. When requesting review, email support with the shop domain, charge period, job ID if applicable, and a description of the failure—never payment-card details.
This policy is always subject to mandatory law and Shopify rules. Nothing in these Terms limits a non-waivable cancellation, refund, remedy, or consumer right. In particular, where Saudi Arabia's E-Commerce Law applies to a consumer, statutory rescission rights and exceptions—including whether a digital service has been used, received, or benefited from—remain unaffected. Any approved refund is processed only through Shopify, the original payment processor for the app charge. ScenePact does not offer off-platform refunds or store credit.
5. Inputs, outputs, and intellectual property
You retain the rights you have in material you submit. You grant ScenePact a limited, non-exclusive permission to process that material only to operate, secure, and support the service and comply with law. As between you and ScenePact, you may use outputs created for your store, subject to these Terms, applicable law, and third-party rights. Outputs may not be unique and are not warranted to be free of third-party claims.
6. Data
The Privacy Policy describes the information processed, service providers, international processing, private media storage, retention choices, Shopify privacy webhooks, and deletion handling. Uninstalling starts applicable Shopify shop-data handling but does not override legal retention obligations.
7. Availability, changes, and suspension
We may reject unsupported media or prompts, withhold an output that does not pass required gates, or suspend access when reasonably necessary to protect merchants, Shopify, ScenePact, or others; investigate misuse; comply with law; or address security and service risks. Features may change. We will provide notice of material changes to paid terms before they take effect where required, and may discontinue the service subject to applicable law and Shopify rules.
8. Disclaimers and responsibility
To the extent permitted by applicable law, ScenePact is provided “as is” and “as available,” without implied warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted operation. ScenePact is responsible for direct loss only to the extent established under applicable law. Nothing in these Terms excludes or limits liability, warranties, remedies, or rights that cannot lawfully be excluded or limited.
9. Governing law and disputes
These Terms are governed by the laws of the Kingdom of Saudi Arabia, without limiting any mandatory protection that applies under another law. Before filing a claim, contact us so the parties can try in good faith to resolve it. Any dispute not resolved informally will be submitted to the competent courts of Saudi Arabia, unless mandatory law requires a different forum.
